Terms and Conditions

1. Definitions

• “Client” means any individual or organization that engages QLOAX for products, development, consulting, or support services.
• “Services” refers to any offering provided by QLOAX, including but not limited to product access (FORGE 4.0, RevGen, IntervuAI), consulting, development, integration, and related support.
• “Agreement” means these Terms along with any specific proposal, SOW (Statement of Work), or license agreement mutually executed between QLOAX and the Client.
• “Website” refers to qloax.com and its subdomains.

2. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not use our Services:

• For any unlawful or fraudulent activity.
• To infringe or violate the rights of others, including intellectual property or privacy rights.
• To upload malicious code, viruses, or interfere with service operation.
• To copy, resell, or reverse-engineer our proprietary technology without written consent.

3. Intellectual Property

All intellectual property rights, including but not limited to software, design, data, documentation, and trademarks, remain the exclusive property of QLOAX Technologies or its licensors. Clients are granted only a limited, non-exclusive, non-transferable license to use deliverables or products in accordance with their respective agreements.

4. Confidentiality

Both QLOAX and the Client agree to maintain confidentiality of all proprietary or sensitive information shared during the engagement. Neither party shall disclose such information to third parties without prior written consent, except where required by law.

5. Proposals, Estimates & Deliverables

All quotations or proposals are valid for 30 days unless stated otherwise. Project timelines and deliverables may vary based on scope or unforeseen factors.

6. Payment Terms

• Invoices are payable within 15 days of receipt.
• Late payments may incur interest as per applicable law.
• All fees exclude applicable taxes.
• QLOAX may suspend services for overdue accounts.

7. Third-Party Services

Our solutions may integrate or rely on third-party APIs or platforms. QLOAX shall not be liable for issues arising from their use.

8. Warranties & Disclaimers

• All Services are provided “as is” and “as available.”
• QLOAX disclaims all implied warranties including fitness for a particular purpose.
• We do not guarantee uninterrupted or error-free service.

9. Limitation of Liability

QLOAX shall not be liable for indirect, incidental, or consequential damages. Our total liability will not exceed the amount paid for the specific service.

10. Indemnification

You agree to indemnify QLOAX, its directors, and affiliates from any claims, losses, or damages resulting from your use of our Services.

11. Data Protection & Privacy

We process data in compliance with applicable laws. Refer to our Privacy Policy for details.

12. Termination

Either party may terminate with written notice in case of material breach or insolvency. All dues up to the termination date remain payable.

13. Force Majeure

QLOAX shall not be liable for failures beyond reasonable control including natural disasters or government restrictions.

14. Governing Law & Jurisdiction

Governed by Indian law. Disputes subject to Bangalore, Karnataka jurisdiction.

15. Changes to Terms

QLOAX may update these Terms anytime. Continued use implies acceptance of the revised version.
